We have also handled the structuring of the First Public Offering in Pakistan of Term Finance Certificates (TFCs) by Packages Ltd., and its listing on the Stock Exchange as the first financial commercial instruments in the secondary market, under instructions of Bank of America.

We also regularly advise our clients from time to time in respect of the enactment of new legislation in the field of company law, including, but not limited to, the Companies Act, 2017, and the, Securities Act, 2015, which have far reaching implications in all corporate legal advisory matters.

LMA has advised on a joint venture by a local entity with a foreign entity to set up medical diagnostic centers across Pakistan. We advised on the structure of the project and the project company to be incorporated for the purposes of the project. The scope of work further entailed the drafting of a term sheet, shareholders agreement and incorporation documents of the project company and preparation of documents in relation to the acquisition of land for the project.

  • The firm was engaged to act on behalf of Pakistan LNG Terminals Limited in the matter of the amalgamation of the company with its affiliate, Pakistan LNG Limited. The matter is significant because it is one of the first (if not the first) instances of amalgamation under Section 284(2) of the Companies Act, 2017, which provides for the amalgamation of affiliated companies by way of a scheme of amalgamation approved by the companies’ boards of directors.

  • LMA has recently been involved from the first stage of raising funds at both Angel and Series A funding Stages for Pi Pakistan, which has led to it being valued as the biggest company of its sort in Pakistan. LMA also recently negotiated on behalf of Pi Pakistan in its successful bidding for PSL rights in the Region. LMA has been a pioneer in structuring transactions and funding exercises involving multiple jurisdictions and investors with close negotiations with State Bank of Pakistan and other regulatory authorities in Pakistan and foreign jurisdictions. We have advised the client on foreign shareholding for a Pakistan company, as well Pakistan’s OpCo’s capacity to invest abroad as well proxy relationships and contracts and offshore structuring.

  • Acted on behalf of Phillip Morris in consolidation/subdivision of its shares for the purposes of which they are entering into a stock split transaction. Our scope of work included review and drafting of all notices, letters, applications approvals as required for the completion of the transaction. This included but is not limited to drafting and reviewing of notices and resolutions as required under law for compliance, amendment f the Memorandum and Articles of Association and liaising with the relevant regulatory authority.
